Terms and conditions for the supply of goods

Unless expressly agreed in writing to the contrary, the following Terms and Conditions will apply to Goods to be supplied through the HR Wallingford website and any related quotations for Goods and shall prevail notwithstanding any printed or other conditions which may appear in the course of any purchase order or letter of acceptance save where otherwise expressly agreed in writing by HR Wallingford.

3. Validity of quotation

Unless indicated otherwise, a quotation to provide Goods remains open for acceptance at the price quoted for a period of 30 days from the date of issue. Such acceptance shall not, however, create a legally binding contract if HR Wallingford requires credit references in relation to the Purchaser and such references are not provided or are not to HR Wallingford's satisfaction. Where credit references are required the contract will be created at the time that HR Wallingford indicates its satisfaction to the Purchaser in writing.

4. Withdrawal

HR Wallingford shall have the right to withdraw a quotation or cancel any unfulfilled part of the Contract arising from it if the Purchaser makes an agreement with creditors compounding debts or (not being a limited company) commits any act of bankruptcy or is adjudicated bankrupt or (being a limited company) enters into liquidation whether compulsory or voluntary except for the purpose of reconstruction or amalgamation, or has a receiver appointed of all or part of its assets.

5. Equipment specifications

The Goods supplied will conform as accurately as possible to the Purchaser specification if any has been provided and accepted in writing by HR Wallingford . Any data sheets or photographs provided are by way of example and do not form the basis of the technical specification of the Goods. They are intended to provide assistance with the likely application or installation.

HR Wallingford reserve the right to improve or update designs continually in the light of recent developments.

6. Documentation

All operating maintenance and other manuals will be written in English unless otherwise stated.

7. Inspection

The Goods will be inspected by HR Wallingford before packing and if required a certificate will be issued.

If required by the Purchaser in writing HR Wallingford will give the Purchaser two weeks’ notice of when the Goods will be available for inspection. All the costs of inspection by the Purchaser or its agent will be borne by the Purchaser.

8. Delivery of damaged goods

The Purchaser is expected to inspect Goods on delivery and to sign documentation accepting the condition as delivered. HR Wallingford will not be liable for the cost of the repair or replacement of Goods that have been damaged in transit unless notified of the damage in writing by the Purchaser within three days of the date of delivery.

9. Product liability

HR Wallingford will repair free of charge any Goods which fail within one year of the date of delivery, provided that the Goods are used correctly and in accordance with the instructions provided. The Goods must be returned to HR Wallingford and all packing, freighting and insurance costs etc. must be paid by the Purchaser. Site visits may alternatively be arranged at the option of HR Wallingford. The Purchaser will be responsible for any re-import procedures involved. Risk in returned Goods remains with the Purchaser until delivered to HR Wallingford.

10. Price and shipping charges

All prices for the Goods which appear on the HR Wallingford website or which are the subject of separate quotation are exclusive of import duties, local taxes and UK VAT if applicable.

For orders above £1 000 (or equivalent in other currencies) and/or with two or more items, the Purchaser will be informed of shipping and handling charges once the quotation request is submitted. If the Purchaser chooses to pay by credit card (where such payment mechanism is accepted (see below)), the associated charges will be confirmed before the amount is debited from the Purchaser’s account.

In the following paragraphs of this clause the “Purchaser” is referred to as “you” for ease of reading.

For orders of 1 item and less than £1000 (or equivalent in other currencies) secure on-line payments are made directly through WorldPay (a Royal Bank of Scotland company) or PayPal. To enable WorldPay or PayPal to provide secure payment facilities you will be required to supply your name, your credit or debit card number (with the expiry date) your e-mail and invoice addresses, and the delivery address. Transmission of sensitive information (such as a credit card number) over the internet is protected through the use of encryption, such as the Secure Socket Layer (SSL) protocol. HR Wallingford does not have access to your financial details.

For legal reasons regarding handling of credit card details, HR Wallingford cannot take payment information over the phone, by fax or by e-mail. As an alternative to using this web site, payment by cheque (in £ only made payable to HR Wallingford Ltd) or BACS can also be made, and bank details will be given on the invoice. For orders in excess of £1000 (or equivalent in other currencies), unless otherwise agreed, payment is to be made in pounds sterling by Irrevocable Letter of Credit confirmed by a first class London bank. Alternatively, if payment is made with order then if required HR Wallingford will raise a Bank Guarantee to cover this payment. Payment should be made through Lloyds TSB Bank plc, 24 Broad Street, Reading, Berkshire, United Kingdom. Account No. 1021860. Sort Code 30-91-31. Swift No. LoydGB2L. IBAN GB47 LOYD 3091 3101 0218 60.Interest on amounts due and unpaid shall be payable from the date when payments of such amounts fell due and shall be calculated on a daily basis at the rate of 3% pa above the current base rate of Lloyds TSB Bank plc.

12. Obligations and extent of liability of HR Wallingford

Whilst HR Wallingford aims to supply the Goods within any time that is quoted or requested, it does not guarantee to do so.

HR Wallingford will take reasonable care to ensure that the Goods supplied are of good standard and fit for their usual purpose (unless another purpose has been specifically agreed in writing) and provides protection for the Purchaser by way of its Product Liability undertaking at Clause 9 above. In any instance where the above warranty does not provide reasonably satisfactory remedy, HR Wallingford's liability for breach of warranty shall in all instances be limited to the price paid by the Purchaser for the Goods.

Save for the warranty give above HR Wallingford shall have no further or other liability in respect of the Goods or in respect of any omission or default in relation thereto. Save as expressly provided in the Contract HR Wallingford shall have no liability for losses that may be incurred through delay, mis-performance or non-performance of the Contract, and all liability for such losses is hereby excluded.The limits and exclusions of liability in this clause shall not apply to liability which cannot be excluded or limited by law.

In any case where the Purchaser is not the sole person for whose benefit or ultimate benefit the Goods to be supplied by HR Wallingford under the Contract are to be supplied, the Purchaser warrants that it is authorised by all such persons to accept, in consideration of HR Wallingford entering into the Contract with the Purchaser, the limitations and exclusions of liability contained herein on behalf of and so to bind all such persons.

The benefit of these conditions shall extend to all directors, employees, agents and subcontractors engaged by HR Wallingford and concerned with the supply of Goods under the Contract who shall each be entitled to every defence, exemption or limitation of liability to which HR Wallingford is entitled thereunder (or hereunder, as the case may be). For this purpose only HR Wallingford contracts as agent for and on behalf of all such directors, employees, agents and subcontractors engaged by HR Wallingford as well as on its own behalf. The agreement of such directors employees agents and sub contractors shall not be required to amendments to the Contract but these people shall have the right to enforce the benefits given to them by this clause. No other persons may enforce the Contract save for HR Wallingford and the Purchaser.

13. Governing law

The Terms and Conditions of the Contract shall be governed by English law.

14. Settlement of disputes

Any dispute or difference arising out of the Contract shall be referred to the arbitration (such arbitration to encompass processes of mediation and conciliation) of a person to be agreed upon between the purchaser and HR Wallingford or, failing agreement, nominated by the President for the time being of the Chartered Institute of Arbitrators.
